1. Acceptance

By creating an account or using the PoC360 platform ("Service"), you agree to these Terms of Service ("Terms"). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Service.

2. The Service

PoC360 provides software tools to help US skilled nursing facilities manage CMS compliance, including Plan of Correction generation, task scheduling, policy management, and audit tracking. The Service is provided on a subscription basis. Feature availability depends on your selected plan.

3. Accounts

You must provide accurate registration information. You are responsible for all activity under your account. Notify us immediately at support@getpoc360.com if you suspect unauthorised access. You must be at least 18 years old to use the Service.

4. Subscriptions & billing

Subscriptions are billed monthly or annually in advance via Stripe. Prices are displayed at getpoc360.com/pricing. We reserve the right to change pricing with 30 days' notice. All fees are non-refundable except where required by law. Accounts with failed payments may be suspended after 7 days.

Free trials are available for new accounts. At the end of a trial your data is preserved for 90 days; no charge is made until you select a paid plan.

5. Acceptable use

You agree not to:

Use the Service for any unlawful purpose or in violation of CMS regulations
Upload malware, viruses, or harmful code
Attempt to reverse-engineer, scrape, or copy the Service
Share login credentials with users outside your organisation
Misrepresent your facility's compliance status in any regulatory filing using data generated by the Service

6. Your data

You retain ownership of all compliance data, documents, and content you upload ("Your Data"). You grant PoC360 a limited licence to process Your Data solely to provide the Service. We do not sell or share Your Data with third parties except as described in our Privacy Policy.

7. AI-generated content

The Service uses AI to assist with Plan of Correction drafting and policy suggestions. AI-generated content is a draft aid only. You are solely responsible for reviewing, editing, and submitting any Plans of Correction or compliance documents to CMS. PoC360 does not guarantee that AI-generated content meets CMS acceptance standards for any specific citation.

8. Intellectual property

The PoC360 name, logo, platform, and all underlying software and content are owned by PoC360 and protected by intellectual property law. Nothing in these Terms transfers any ownership rights to you. The CMS F-tag framework and regulatory text are public domain materials published by the US Centers for Medicare & Medicaid Services.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR REGULATORY OUTCOME WILL BE ACHIEVED.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POC360'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL POC360 BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Termination

You may cancel your subscription at any time from the Billing page inside the app. We may suspend or terminate your account for material breach of these Terms with notice where practicable. On termination, your right to use the Service ends; Your Data is retained for 90 days and then permanently deleted.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes shall be resolved by binding arbitration under the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes

We may update these Terms. Material changes will be communicated by email at least 14 days before taking effect. Continued use after that date constitutes acceptance.
